End User Licence Agreement

Digiliance · operated by Spectra Outsource Solutions Private Limited · Effective 15 October 2026 · Version 2026-10-15

This End User Licence Agreement ("EULA") is between you, the individual user, and the organisation you use the software for (together, "you"), and Spectra Outsource Solutions Private Limited ("Digiliance", "we"). It governs your use of the Digiliance software: the web application at https://app.digiliance.in, its APIs, any mobile or desktop application, generated outputs and documentation (the "Software"). It applies together with the Terms of Service, which prevail if there is any conflict, and the Privacy Policy.

By clicking "Accept", signing in or using the Software, you agree to this EULA. If you do not agree, do not use the Software.

1. Licence

Subject to this EULA, the Terms of Service and payment of applicable fees by your organisation, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software during your organisation's subscription, solely for your organisation's internal business purpose of managing its own labour-law compliance (or, for authorised partners, the compliance of the customers they manage), within the modules, roles and limits your organisation has subscribed to.

2. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title and interest in it, including all copies, updates, statutory content, templates, designs and trade marks. Your organisation owns the data it enters, as set out in the Terms of Service.

3. Restrictions

You must not, and must not help anyone to:

  1. copy, modify, translate or create derivative works of the Software or its content, except printing or exporting outputs for your organisation's own compliance records;
  2. decompile, disassemble or reverse engineer the Software, or try to discover its source code or underlying ideas, except to the extent the law expressly permits despite this restriction;
  3. rent, lease, lend, sell, sublicense, distribute or otherwise make the Software available to anyone outside your organisation;
  4. share your login credentials, or let anyone use the Software under your account;
  5. remove or alter any proprietary notices, branding or labels;
  6. access the Software by automated means (bots, scrapers) other than our published APIs, or in a way that imposes an unreasonable load;
  7. test, scan or probe its security, or bypass any authentication, access control or usage limit;
  8. use the Software to build a competing product or service, or for benchmarking published without our consent;
  9. use the Software for any unlawful purpose or to process data you are not entitled to process.

4. Your account

You are responsible for keeping your password secure and for all activity under your account. Use a strong, unique password and sign out on shared devices. Tell us immediately at [email protected] if you suspect unauthorised use. Your organisation, its authorised partners and our support personnel may access your account for administration and support; such access is logged.

5. Outputs and statutory content

Registers, reports, calendars, checklists, reminders and statutory information produced by the Software depend on the data entered and on laws that change often. They are aids, not legal advice. You must check them before relying on or filing them. We are not responsible for decisions taken or filings made on the basis of them.

6. Updates

We may update, modify or discontinue features of the Software at any time, and updates may be applied automatically. This EULA applies to all updates unless they come with separate terms.

7. Third-party components

The Software uses third-party and open-source components. They are provided under their own licences, which govern their use to the extent required; nothing in this EULA limits your rights under those licences.

8. Termination

This licence ends automatically when your organisation's subscription ends, when your account is removed, or if you breach this EULA. We may suspend or terminate your access immediately if we reasonably believe you have breached it. On termination you must stop using the Software. Sections 2, 3, 5, 9, 10 and 11 survive.

9. Disclaimer

The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, merchantability, non-infringement or uninterrupted, error-free operation, to the fullest extent permitted by law.

10. Limitation of liability

To the fullest extent permitted by law, we are not liable to you for any indirect, incidental, special or consequential loss, loss of data, profit or business, or any statutory penalty or consequence of non-compliance. Our total liability under this EULA and the Terms of Service together is limited as set out in section 14 of the Terms of Service. Individual users have no claim against us separate from their organisation's, except where the law does not allow this to be excluded.

11. Governing law and disputes

This EULA is governed by the laws of India. Disputes are resolved as set out in section 20 of the Terms of Service (arbitration seated in Gurugram, Haryana; courts at Gurugram for interim relief and enforcement).
